Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Qeysia Labs Ltd governing your access to and use of PharmTraq. Please read them carefully. By creating an account or using the Service you agree to these Terms.
PharmTraq is operated by Qeysia Labs Ltd (RC 9613649), Lagos, Nigeria.
1. Who we are
PharmTraq (“PharmTraq”, the “Service”) is a cloud-based pharmacy operations platform owned and operated by Qeysia Labs Ltd (RC 9613649), a company registered in Nigeria with its principal place of business in Lagos, Nigeria(“we”, “us”, “our”). You can reach us at support@pharmtraq.app.
2. Acceptance of these Terms
By registering for, accessing, or using the Service you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Refund & Cancellation Policy, which are incorporated into these Terms by reference. If you are entering into these Terms on behalf of a business, you represent that you are authorised to bind that business. If you do not agree, you must not use the Service.
3. Definitions
- “Subscriber” means the pharmacy, business, or individual that opens an account and is responsible for it.
- “Authorised Users” means the staff or personnel a Subscriber permits to use the Service under its account.
- “Subscriber Data” means all data a Subscriber and its Authorised Users submit to the Service, including Patient Data(prescription, dispensing, and related records about a Subscriber’s customers or patients).
- “Subscription” means a paid plan that grants access to the Service for a recurring billing period.
4. Accounts and eligibility
You must provide accurate, current, and complete information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including the actions of your Authorised Users. You must notify us promptly at support@pharmtraq.app of any unauthorised use. You must be at least 18 years old and legally able to enter into a contract to use the Service.
5. Subscriptions, fees, and billing
The Service is offered on a subscription basis. Plan features and prices are shown on our pricing page and are quoted in Nigerian Naira (NGN) unless stated otherwise. We may offer a free trial; at the end of the trial your selected plan begins and billing starts unless you cancel beforehand.
- Payment. Subscription fees are processed by our third-party payment provider, Paystack. By subscribing you authorise us, through Paystack, to charge your chosen payment method for the applicable fees.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly) at the then-current rate, unless you cancel before the renewal date.
- Taxes. Subscription fees are inclusive of any applicable taxes, including Value Added Tax (VAT), unless stated otherwise at checkout.
- Price changes. We may change plan prices on reasonable prior notice; changes take effect from your next billing period.
Refunds and cancellation are governed by our Refund & Cancellation Policy.
6. Cancellation, suspension, and termination
You may cancel your Subscription at any time as described in the Refund & Cancellation Policy; cancellation stops future charges and access continues until the end of the period you have already paid for. We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to us, other users, or third parties. On termination your right to use the Service ends; provisions that by their nature should survive (for example, fees owed, intellectual property, disclaimers, limitation of liability, and governing law) will survive.
7. Acceptable use
You agree not to, and not to permit any Authorised User to:
- use the Service for any unlawful purpose or in breach of any applicable law or regulation, including pharmacy and data-protection laws;
- upload data you do not have the right to use, or that infringes the rights of any third party;
- attempt to gain unauthorised access to, interfere with, or disrupt the Service or its infrastructure;
- reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law; or
- introduce malware or use the Service to send unsolicited or unlawful communications.
8. Subscriber Data and data-protection roles
As between the parties, the Subscriber owns its Subscriber Data. You grant us a limited licence to host, process, and transmit Subscriber Data solely to provide and support the Service.
For Patient Data and other personal data the Subscriber collects from its own customers, the Subscriber is the data controller and Qeysia Labs Ltd acts as a data processoron the Subscriber’s behalf, in accordance with our Privacy Policyand the Nigeria Data Protection Act 2023 (NDPA). You are responsible for establishing a valid lawful basis (including any required consent) for the personal data you process through the Service and for handling your patients’ data-protection requests. We process account-holder data (such as your staff’s names, emails, and billing details) as a data controller, as described in the Privacy Policy.
9. Intellectual property
The Service, including its software, design, text, and trademarks (including “PharmTraq”), is owned by Qeysia Labs Ltd or its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your Subscription. We welcome feedback and may use it without restriction or obligation to you.
10. Service availability and disclaimers
We work to keep the Service available and reliable, but it is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement.
No medical or professional advice. The Service is an operational and record-keeping tool. It does not provide medical, pharmaceutical, clinical, or legal advice and is not a substitute for the professional judgement of a licensed pharmacist or other qualified professional. You remain solely responsible for your dispensing, clinical, and regulatory decisions.
11. Limitation of liability and indemnity
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount of fees you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the claim. You agree to indemnify and hold Qeysia Labs Ltd harmless from claims arising out of your Subscriber Data or your breach of these Terms or applicable law.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will provide reasonable notice (for example, by email or an in-app notice). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. You and Qeysia Labs Ltd submit to the exclusive jurisdiction of the courts of Lagos, Nigeria to resolve any dispute arising out of or relating to these Terms or the Service, without prejudice to any mandatory consumer-protection rights you may have.
